1. Agreement
By accessing or using AI Reach 360 (the “Service”), operated by Flexus Solutions (“Company”), you agree to these Terms and Conditions (“Terms”). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the Service.
2. The Service
AI Reach 360 provides tools for email outreach, campaign management, contact list handling, reply tracking, analytics, and related AI-assisted features. The Service may send email through sending accounts you connect (e.g. Gmail or SMTP). We may modify, suspend, or discontinue features with reasonable notice where practicable.
3. Your account
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms or pose security or abuse risks.
4. Acceptable use
You agree not to use the Service to:
- Send spam, phishing, malware, or deceptive content
- Violate anti-spam laws (including CAN-SPAM), privacy laws, or third-party terms of connected providers
- Harass, threaten, or discriminate against individuals
- Upload or process contact data without proper consent or legal basis
- Attempt to probe, scan, or compromise the security or integrity of the Service
- Resell or sublicense the Service without written permission
You are solely responsible for the content of emails you send and for compliance with laws applicable to your campaigns.
5. Your data
You retain ownership of data you submit to the Service. You grant us a limited license to host, process, and transmit your data solely to provide and improve the Service. Our use of personal information is described in our Privacy Policy.
6. Third-party integrations
Connecting Gmail, SMTP, or other third-party services is at your discretion. You must comply with those providers’ terms. We are not responsible for outages, policy changes, or actions taken by third parties.
7. Fees & payment
If you subscribe to a paid plan, fees and billing terms will be presented at purchase or in a separate order form. Unless otherwise stated, fees are non-refundable except where required by law. Failure to pay may result in suspension of access.
8. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE DELIVERABILITY, INBOX PLACEMENT, OR SPECIFIC BUSINESS RESULTS FROM YOUR CAMPAIGNS.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLEXUS SOLUTIONS AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER.
10. Indemnification
You agree to indemnify and hold harmless Flexus Solutions from claims, damages, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, your content, your contact lists, or your violation of these Terms or applicable law.
11. Termination
You may stop using the Service at any time. We may terminate or suspend access for breach of these Terms or for operational reasons. Upon termination, your right to use the Service ceases; provisions that by nature should survive will remain in effect.
12. Governing law
These Terms are governed by the laws of the jurisdiction in which Flexus Solutions is established, without regard to conflict-of-law principles. Disputes shall be resolved in the courts of that jurisdiction, unless otherwise required by applicable consumer protection law.
